Agility Robotics expects $465 million gross proceeds from proposed SPAC transaction
Agility Robotics and Churchill Capital Corp XI expect approximately $465 million in gross capital before transaction expenses from their proposed business combination and related financings, the companies said on October 30 after the redemption deadline. The transaction is not yet closed. The estimate includes about $164 million from Churchill XI’s trust, a $201 million committed private investment in public equity led by Foxconn, and $100 million of equity funding already received after the merger announcement. The Robot Report notes that this is below the $620 million anticipated when the deal was announced in June. Closing is expected on November 4, subject to a November 2 shareholder vote and customary conditions, with Nasdaq trading under AGLT expected on November 5. Agility builds Digit humanoid robots for industrial tasks. Digit5 early-access deliveries are targeted for the first half of 2027; the company’s previously disclosed $300 million-plus multi-year orders are potential contract value subject to milestones, not current revenue. This is an update to a proposed public-market transaction, not a new closed venture round.
